These Terms of Service ("Terms") are an agreement between you and the operator of SimplyEdit ("SimplyEdit", "we", "us") governing simplyedit.co, the hosted SimplyEdit application, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.
1. Important billing summary
- Paid subscriptions renew automatically every month or year, according to the billing option you select, until cancelled.
- The checkout page shows the price, currency, billing frequency, and applicable tax before you pay.
- You can cancel through Account → Plan. Cancellation normally takes effect at the end of the period already paid for.
- Automatic credit top-up is off by default. If you enable it, you authorise charges to your saved payment method when your selected threshold is reached.
- Plan credits reset each billing period and do not roll over. Separately purchased credits do not expire while your account remains open.
2. Eligibility and accounts
You must be at least 13 and old enough to agree to these Terms where you live. If you are under 18, you must have permission from a parent or legal guardian. You must provide accurate information, protect your credentials, and promptly notify hello@simplyedit.co if you suspect unauthorised access.
Each seat is for one person. Plans that include multiple seats allow the account owner to invite separate users; they do not permit password sharing. The owner controls team membership and is responsible for charges and usage associated with the team billing account.
3. Plans, subscriptions, and automatic renewal
Current plans, limits, prices, included seats, and credit allowances are displayed in the Service and at checkout. Prices are shown in US dollars unless the checkout page states otherwise. Taxes may be added where required.
When you start a paid subscription, you authorise Stripe to charge the payment method you provide immediately and at the beginning of every later billing period. Monthly plans renew monthly. Annual plans are charged for a full year and renew annually. Renewal continues until you cancel.
You can cancel from Account → Plan, which opens the Stripe billing portal. Unless the Service states otherwise, cancellation prevents the next renewal and you retain paid access until the current period ends. Removing the application or becoming inactive does not cancel a subscription.
If payment fails, we or Stripe may retry the charge. Access to paid features may be restricted or moved to the free plan until payment succeeds. You remain responsible for amounts validly incurred before cancellation.
We may change prices or plan features. A price change to an existing renewing subscription will apply no earlier than a future renewal after reasonable advance notice required by law. You may cancel before the change takes effect.
4. Credits and metered features
AI and export credits are prepaid service entitlements, not money. They have no cash value, cannot be transferred or resold, and cannot be redeemed for cash.
- Plan credits refresh at the start of each subscription billing period. Unused plan credits do not roll over.
- Purchased credits are one-time purchases and do not expire while the account remains open.
- The interface shows the applicable credit cost or estimate for metered features. Actual costs may vary where clearly stated.
- If a metered job fails on our systems before providing a usable result, the Service may automatically return the associated credits. Dissatisfaction with a completed AI result is not by itself a technical failure.
Credit-pack prices and metering rates can change for future purchases or operations. Changes do not remove credits already purchased.
5. Automatic top-up
Automatic top-up is optional and disabled by default. When you enable it, you expressly authorise us and Stripe to charge your saved payment method without asking again each time your available AI-credit balance falls below the threshold you selected. The Service shows the selected credit amount and approximate pre-tax charge before activation.
To reduce duplicate charges, the system limits automatic purchases to no more than one within each ten-minute period. This is not a daily or monthly spending cap; sustained usage can cause multiple purchases. Tax may be added. You can disable automatic top-up at any time under Account → Credits. Disabling it applies to future triggers and does not reverse a charge already completed.
6. Refunds and consumer rights
Except where required by law, stated at checkout, or expressly provided in these Terms, completed subscription and credit purchases are non-refundable. We do not provide partial-period refunds merely because you cancel, and unused plan credits are not refunded when they reset.
Contact hello@simplyedit.co promptly about a duplicate or incorrect charge, a charge completed after a valid cancellation or after automatic top-up was disabled, or a materially defective service. We will investigate and provide any remedy required by applicable law.
Consumers in some locations have mandatory cancellation, withdrawal, refund, or service-quality rights. Nothing in these Terms excludes those rights. Where a statutory cooling-off period applies to digital services supplied immediately, your rights depend on the consent and acknowledgement collected at purchase and the amount of service already supplied.
7. Your content
You retain ownership of video, audio, images, text, projects, and other content you submit or create. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, transcode, analyse, render, and display that content only as needed to provide, secure, and support the Service and the features you request. This licence ends when the content is deleted, subject to reasonable backup cycles and records we must retain by law.
You confirm that you have the rights and permissions required for your content and its use. You are responsible for copyright, privacy, publicity, music, talent, location, and other clearances. We may remove content or restrict an account when reasonably necessary to address illegality, infringement, risk, or a breach of these Terms.
8. AI and third-party material
AI results can be inaccurate, unsuitable, non-unique, or subject to third-party rights. Review results before relying on or publishing them. We do not guarantee that an AI output is registrable, exclusive, or free of infringement. AI and cloud features depend on third-party providers and can change or become unavailable.
Stock media and other third-party assets remain subject to their own licences. You are responsible for following attribution, scope-of-use, and other licence requirements shown by the provider.
9. Acceptable use
You must not use the Service to:
- break the law or infringe intellectual-property, privacy, publicity, or other rights;
- create or distribute sexual content involving minors, facilitate exploitation, or promote serious violence;
- impersonate, defraud, harass, threaten, or create deceptive synthetic media intended to cause harm;
- access another person's data or account without authority;
- bypass payment, credits, limits, security, rate limits, or access controls;
- introduce malware, probe for vulnerabilities without written authorisation, or disrupt the Service; or
- resell or white-label the hosted Service without our written agreement.
10. Cloud storage, availability, and backups
Local projects depend on your browser's storage. Clearing browser data, switching devices, or browser failure can permanently remove them. Cloud storage is not a substitute for your own backup. Keep independent copies of important source media and exports.
We aim to provide a reliable Service but do not guarantee uninterrupted availability or that every feature will always remain available. We may modify, suspend, or discontinue features for technical, commercial, safety, or legal reasons.
11. Suspension, cancellation, and account deletion
You may stop using the Service, cancel a subscription, or delete your account through the available account controls. Account deletion is irreversible, cancels active subscriptions immediately, and removes access to projects and credits. Export anything you need and deal with any purchased credit balance before deletion.
We may suspend or terminate access for a material breach, unlawful conduct, non-payment, security risk, or where required by law. Where reasonable, we will give notice and an opportunity to resolve the issue. Provisions that by nature should survive termination—including ownership, payment obligations, disclaimers, liability limits, and dispute terms—continue to apply.
12. Copyright complaints
Send copyright complaints to hello@simplyedit.co with identification of the protected work, the allegedly infringing material and its location, your contact details, a good-faith statement that the use is unauthorised, a statement that your notice is accurate and you are authorised to act, and your physical or electronic signature.
13. Open-source software
The hosted Service includes software derived from OpenCut, used under the MIT License. OpenCut's authors do not operate, endorse, or provide support for SimplyEdit. The software licence and these Terms do different jobs: the relevant open-source licences govern copying and modification of covered source code, while these Terms govern your account and use of our hosted Service. 14. Disclaimers and liability
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. Mandatory consumer guarantees are not excluded.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for lost profit, revenue, opportunity, goodwill, or data. Our aggregate liability arising from the Service will not exceed the greater of the amount you paid us during the 12 months before the event giving rise to the claim or US$100. This limitation does not apply where liability cannot legally be limited, including liability for fraud and other mandatory liabilities.
If you use the Service for business purposes, you agree to indemnify us for third-party claims and reasonable costs arising from your unlawful content, your material breach of these Terms, or your infringement of another person's rights. This does not apply to consumers where prohibited by law.
15. Changes and disputes
We may update these Terms. We will provide reasonable advance notice of a material change affecting recurring price, renewal, or core rights where required. Continued use after the effective date means you accept the revised Terms; if you do not accept them, stop using the Service and cancel before the change takes effect.
These Terms are governed by the law applicable to the operator of SimplyEdit, without depriving consumers of mandatory protections available in their place of residence. Before starting formal proceedings, please email us so we can try to resolve the issue.
16. General
These Terms and the Privacy Policy form the entire agreement concerning the hosted Service. If a provision is unenforceable, the remainder continues. A failure to enforce a provision is not a waiver. We may assign these Terms as part of a merger, restructuring, financing, or sale of the Service.
